- If fewer than 20 qualifying outlets have published by Day 60, the guaranteed minimum increases to 30 distinct qualifying outlets at no charge.
- Continued media distribution and follow-up, without any additional service fee, until the applicable 20- or 30-outlet guarantee is fulfilled.
- Lifetime Media Opportunity Follow-Up, at no additional Gloture service fee (Agreement section 5).
Part A — Japan Product PR Service Agreement
1. This agreement
This Japan Product PR Service Agreement (Part A), the Client's Service Order (Part B) and the record of the Client's electronic signature (Part C) together form one agreement between Gloture and the Client.
The Service Order sets out the client-specific details. Its special conditions apply only where they expressly say so. They can add services or details, but they cannot reduce the Standard Guarantees unless the Service Order shows a deviation approved by a Gloture owner.
2. The services
For the fee in the Service Order, Gloture provides Japan Product PR for the product named in the Service Order:
(a) preparation and coordination of the product PR;
(b) press release distribution and outreach to Japanese media within the agreed scope;
(c) the guaranteed publication described in section 3;
(d) a media coverage report with verifiable publication links or other supporting evidence;
(e) Lifetime Media Opportunity Follow-Up (section 5), at no additional Gloture service fee; and
(f) outreach to, and coordination of opportunities with, relevant Japanese television programmes, magazines and other reputable media (section 4).
Gloture performs the services with reasonable professional care and skill.
3. Guarantee: at least 20 Japanese media outlets
Gloture guarantees publication or republication of the Client's product across at least 20 distinct qualifying Japanese media outlets.
A qualifying publication is one that (i) is published by a Japanese media outlet, (ii) identifies or introduces the Client's product, (iii) is publicly accessible or otherwise reasonably verifiable, and (iv) is attributable to the PR campaign under this agreement.
Counting: distinct media outlets are counted, not URLs. Several pages on one outlet count as one outlet. Republication of the same story by separate qualifying outlets counts once for each outlet. Search results, social media shares, advertising and unpublished distribution emails do not count. Television broadcasts and magazine features do not count towards the guarantee unless the Service Order expressly says they do.
Evidence: Gloture keeps verifiable evidence of each counted outlet (link, screenshot or copy) and shows in its coverage reports whether a publication is earned editorial coverage or a paid placement. Paid placements are never presented as independent editorial coverage.
PR commencement date: the date on which the Client has supplied all essential PR materials (the product information, images and other materials Gloture has asked for, and the Client's approval of the press release) and Gloture has begun substantive PR work. Gloture records this date and notifies it to the Client in writing (email is sufficient). It is not the payment date.
Day counting: "Day 10" and "Day 60" mean 10 and 60 calendar days after the PR commencement date. Days do not run while the project is paused for a reason caused by the Client, namely (i) any period during which Gloture is waiting for information, materials, samples or an approval that it has requested from the Client in writing, from the request until the Client provides it, and (ii) any period of pause or embargo that the Client asks for. Gloture records each pause with its start and end date and includes them in the coverage report.
Day 10 — initial review: Gloture provides an initial coverage report listing the qualifying outlets that have published. If fewer than 20 have published, Gloture continues reasonable media distribution and follow-up, without any additional service fee, until the 20-outlet guarantee is fulfilled.
Day 60 — increased guarantee: if fewer than 20 qualifying outlets have published by Day 60, the guaranteed minimum increases, at no charge, from 20 to 30 distinct qualifying Japanese media outlets (10 additional outlets). Outlets that publish before or after Day 60 all count towards the applicable guarantee.
No expiry: Gloture continues reasonable outreach and follow-up until the applicable 20- or 30-outlet guarantee is achieved. The guarantee does not lapse on a fixed date.
Remedies: continued performance and, where Day 60 applies, the increased guarantee are the agreed contractual remedies for not reaching the publication numbers by Day 10 or Day 60. Not reaching those numbers by those days does not by itself give a right to a refund or price reduction. This does not exclude or limit any right or remedy under mandatory applicable law, or for Gloture's material non-performance of this agreement (section 9).
4. Television, magazines and editorial decisions
Where appropriate, Gloture introduces the product to relevant Japanese television and magazine contacts and coordinates any interest that results.
Editorial decisions belong to the media. Television broadcasts, magazine features, interviews and any particular placement are not guaranteed. Whether an opportunity can proceed may depend on the availability of product samples.
Media coverage does not guarantee sales, revenue, distributor interest or any return on investment.
5. Lifetime Media Opportunity Follow-Up
Media opportunities often develop slowly: a request may arrive weeks, months, a year or longer after the campaign. Gloture therefore undertakes an ongoing obligation: when a qualifying media opportunity concerning the Client's product comes to Gloture's attention, Gloture will make reasonable efforts to (1) contact the Client, (2) explain the request, (3) coordinate the next steps, and (4) facilitate communication or sample logistics where appropriate.
Qualifying media are Japanese television programmes, Japanese print magazines and other significant, reputable Japanese media. Typical requests are product samples, interviews, product demonstrations and additional product information.
No additional service fee: Gloture does not charge additional PR service or coordination fees for this follow-up.
Expenses: the Client remains responsible for actual third-party costs where they apply, such as product samples, shipping, customs and insurance. Gloture bills an expense only with the Client's prior approval, at cost, without undisclosed handling mark-ups.
Limits: the follow-up does not include new press release campaigns, continuous proactive pitching or guaranteed active media monitoring, and it does not guarantee interviews, television broadcasts or magazine features.
The undertaking applies to qualifying opportunities that Gloture receives or identifies while it continues to operate its media-relations service. An opportunity is not excluded because of the age of the campaign. The Client should keep its contact details up to date with Gloture.
6. The Client's responsibilities
The Client provides accurate and lawful product information and the media materials the PR reasonably needs, and owns or has the right to provide the images, specifications, trademarks and other materials it supplies.
The Client remains responsible for its product claims and for the product's compliance with applicable laws and regulations, including in Japan.
Where samples are needed, the Client is responsible for their availability and for third-party shipping costs (section 5).
The Client may provide its product information immediately after payment or later through its private link. Providing it later does not forfeit any part of the services; schedules that depend on it move accordingly.
7. Fees, taxes and payment
The base fee, the applicable tax and the total payable are set out in the Service Order. The tax treatment is determined and confirmed by Gloture from the Client's country and the Client's answers about any presence in Japan; it is not chosen by the Client. If those facts change materially, Gloture issues a revised agreement for a new signature.
The total is payable in full in advance through Stripe Checkout (hosted by Stripe; Gloture does not receive or store card details). Gloture issues an invoice once the payment is confirmed.
8. Scheduling, approvals and changes
Project timing, if agreed, is set out in the Service Order. Timing depends on the Client providing the product information and materials, and on the Client's approvals; Gloture asks for the Client's approval of the press release before it is distributed.
A change to the scope applies only when both parties agree to it in writing (including by email).
9. Cancellation and refunds
PR services commence when Gloture starts genuine, client-specific PR work, such as campaign preparation, press release drafting, targeted media research, media outreach or other agreed PR deliverables. Processing a payment, sending an automated email or creating an order does not by itself mean that the services have commenced.
If the Client cancels before the services have commenced, Gloture refunds the fees paid, less any reasonable, documented and previously authorised third-party expenses that cannot be recovered, to the extent permitted by law.
Once the services have commenced, fees are generally non-refundable if the Client cancels voluntarily.
This does not limit any remedy the Client has under mandatory applicable law, or for Gloture's material non-performance, including failure to deliver the guaranteed deliverables in section 3, and it does not exclude any other remedy that cannot be excluded by contract.
10. Confidentiality
Each party keeps the other party's non-public information confidential and uses it only for this agreement, except where disclosure is required by law. This includes the Client's commercial terms, unpublished launch details, internal documents and non-public sales figures.
11. Intellectual property
The Client grants Gloture a non-exclusive licence to use, adapt and translate the materials the Client provides, and the Client's product and brand names, for performing the services. The Client keeps all rights in its materials and brands.
Press releases and reports Gloture prepares for the Client may be used by the Client for its own purposes once the fee is paid. Third-party rights in media coverage (articles, images, logos) remain with their owners.
12. Public case studies
Gloture may present lawfully public information about the campaign on its own website and in its sales materials: publicly published PR, public media coverage and links to it, public product names, and factual descriptions of that coverage.
Gloture does not reveal confidential client information, private commercial terms, unpublished launch details, internal client documents, non-public sales figures or other non-public client information. Gloture respects third-party intellectual property (including media logos and imagery), does not suggest that a journalist or publisher endorses Gloture because it published coverage, and does not present sponsored placements as independent editorial coverage.
13. Liability
Except in cases of wilful misconduct or gross negligence, or where the law does not permit a limitation, each party's total liability under this agreement is limited to the fees paid under the Service Order, and neither party is liable for indirect or consequential loss, including lost profits.
14. Governing law and disputes
This agreement is governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction of first instance, subject to any mandatory rules on jurisdiction. The parties will first try to resolve any dispute in good faith.
15. Electronic execution
The Client signs this agreement electronically by typing the signer's full legal name and confirming that the signer is authorised to represent the Client and consents to signing electronically. Gloture records the signature, the signer's role, the time (UTC), the agreement version and a cryptographic hash (SHA-256) of the exact text and amounts signed, and provides both parties with a PDF copy. An executed agreement is never changed afterwards; any change requires a new or supplementary agreement.
